These Terms of Service ("Terms") govern your access to and use of the websites, products, and services offered by Arcane Venture Management, LLC ("Arcane," "we," "us," or "our"), including arcanebio.com and any purchases made through our private allocation portals. By accessing this site or purchasing products from us, you agree to be bound by these Terms.

01Acceptance of Terms

By accessing or using any part of this site, creating an account, entering a restricted portal, or completing a purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use our services.

You must be at least 18 years of age and legally capable of entering into a binding contract to use our services or purchase our products.

02Nature of the Site and Products

Arcane operates a private, invitation-based distribution platform. Access to certain areas of our site is restricted and may require a valid access credential. Products offered through our portals are cosmetic skincare products intended for external topical use only.

03Private Access and Accounts

Portions of this site are protected by access credentials issued privately to authorized individuals. You agree that:

• You will not share, distribute, or publish your access credential.
• You will not attempt to access restricted areas through unauthorized means, automated systems, or reverse engineering.
• You are responsible for any activity occurring under your credential and will promptly notify us of any unauthorized use.
• We reserve the right to revoke access credentials at our sole discretion, without notice, for any reason.

04Orders, Pricing, and Payment

All orders placed through our allocation portals are offers to purchase subject to our acceptance. We reserve the right to refuse, limit, or cancel any order at our discretion, including when an order exceeds available allocation or when we suspect fraud or misuse.

Prices are displayed in U.S. dollars and do not include applicable taxes, which will be calculated and added at checkout where required. Payment is processed through third-party payment processors, and you agree to the applicable terms of those processors.

By submitting payment information, you represent that you are authorized to use the payment method provided. If your payment cannot be processed, your order may be held, modified, or cancelled.

05Shipping and Delivery

Orders are fulfilled and dispatched from our facility according to the timing stated at the point of sale or in your order confirmation. Estimated delivery dates are provided in good faith but are not guaranteed. Title and risk of loss pass to you upon delivery to the carrier.

You are responsible for providing accurate shipping information. Orders returned to us due to an incorrect address or delivery failure may be subject to re-shipment fees.

06Returns, Refunds, and Cancellations

Due to the private, limited-allocation nature of our products and hygiene considerations, all sales are considered final once the product has been shipped. However, we will issue refunds or replacements in the following cases:

• Damaged or defective product: If your product arrives damaged or defective, contact us within 7 days of delivery with photographs and order details for a replacement or full refund.
• Non-delivery: If your order does not arrive within 30 days of dispatch, contact us for investigation and, if appropriate, a replacement or refund.
• Order cancellation prior to shipment: Orders may be cancelled for a full refund at any time before they are shipped by contacting info@arcanebio.com.

Refunds, when issued, will be returned to the original payment method within 5–10 business days of approval. For any order concerns, please contact us directly before initiating a chargeback or payment dispute, as direct resolution is typically faster.

07Product Use and User Responsibility

Our products are for external topical use only. They are not intended for ingestion, injection, or use near the eyes, mucous membranes, or broken skin. We strongly recommend performing a patch test on a small area of skin before regular use.

Discontinue use immediately and consult a healthcare professional if you experience irritation, redness, or any adverse reaction. You acknowledge that individual responses to skincare products vary and that you assume responsibility for evaluating the suitability of any product for your own use.

08Intellectual Property

All content on this site — including text, graphics, logos, trademarks, product imagery, videos, proprietary compound names and designations (including but not limited to DMC-3 and MEND), and underlying formulations, processes, and know-how — is the property of Arcane Venture Management, LLC or its licensors and is protected by U.S. and international intellectual property laws.

You may not copy, reproduce, distribute, modify, publicly display, or create derivative works from any portion of our content without our express prior written permission. Unauthorized use may result in the termination of your access and legal action.

09Prohibited Conduct

You agree not to:

• Resell, redistribute, or otherwise commercialize our products without our prior written consent.
• Use our products in any manner inconsistent with their intended use or in violation of any applicable law or regulation.
• Circumvent or attempt to circumvent any security, access control, or rate-limiting mechanism on the site.
• Use the site or any information obtained from it to compete with us or to develop competing products.
• Upload, transmit, or distribute any harmful code, malicious content, or automated scripts through the site.
• Engage in any activity that interferes with or disrupts the integrity or performance of the site.

OUR SITE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT OUR SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SPECIFIC RESULTS WILL BE OBTAINED FROM USE OF OUR PRODUCTS.

NO STATEMENT ON THIS SITE, IN OUR MARKETING, OR FROM OUR REPRESENTATIVES CONSTITUTES A GUARANTEE OF ANY SPECIFIC COSMETIC, AESTHETIC, OR PHYSIOLOGICAL OUTCOME.

11Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ARCANE VENTURE MANAGEMENT, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM YOUR USE OF THE SITE OR OUR PRODUCTS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12Indemnification

You agree to indemnify, defend, and hold harmless Arcane Venture Management, LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your misuse of our products, or your violation of any third-party rights or applicable law.

13Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or your use of our services shall be resolved exclusively in the state or federal courts located in Oklahoma County, Oklahoma, and you consent to the personal jurisdiction of those courts.

Before initiating formal legal proceedings, you agree to first contact us at info@arcanebio.com to attempt a good-faith resolution.

14Modifications to These Terms

We may modify these Terms at any time. When we do, we will update the "Effective" date at the top of this page. Your continued use of the site following any modification constitutes your acceptance of the revised Terms. For material changes, we will make reasonable efforts to provide notice via the site or to registered users by email.

15Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the site and our products.
